Please read these Terms carefully before using the Remedy platform. By accessing or using our services, you agree to be bound by these Terms.

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the entity you represent, "Customer") and RiskCognition Corporation ("Remedy," "we," "us") governing your access to and use of the Remedy platform, website, and related services.

1. Acceptance of Terms

By creating an account, clicking "I Agree," or otherwise accessing the Remedy platform, you confirm that you are authorized to enter into this agreement on behalf of yourself or your organization and agree to be bound by these Terms and our Privacy Policy.

2. License and Access

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Remedy platform during your subscription term, solely for your internal business operations.

You may not:

  • Sublicense, resell, or transfer access to the platform to any third party.
  • Reverse engineer, decompile, or attempt to derive the source code of the platform.
  • Use the platform to build a competing product or service.
  • Remove or alter any proprietary notices or labels on the platform.
  • Use automated means to scrape, crawl, or extract data from the platform.

3. Customer Responsibilities

  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.
  • Ensure that all users under your account comply with these Terms.
  • Provide accurate and complete information during registration and throughout your use of the platform.
  • Use the platform only for lawful purposes and in compliance with all applicable laws and regulations.
  • Obtain all necessary consents before inputting personal data of third parties into the platform.

4. Customer Data

You retain all ownership rights to data you submit to the Remedy platform ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the services and as described in our Privacy Policy. We will not access Customer Data except as necessary to provide support, comply with law, or as you direct.

You represent and warrant that you have all rights necessary to submit Customer Data to the platform and that such data does not violate any third-party rights or applicable law.

5. Fees and Payment

Subscription fees are set forth in your order form or subscription agreement. All fees are due in advance and are non-refundable except as expressly stated herein. We reserve the right to suspend access for accounts with overdue balances after reasonable notice. Fees are subject to change with 30 days' notice.

6. Confidentiality

Each party agrees to keep the other party's Confidential Information (including pricing, technical details, and Customer Data) strictly confidential and not disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms for 5 years.

7. Intellectual Property

Remedy retains all intellectual property rights in the platform, including all software, algorithms, AI models, documentation, and improvements. Nothing in these Terms transfers ownership of Remedy's intellectual property to you. Feedback you provide may be used by us to improve the platform without obligation or compensation to you.

8. Warranties and Disclaimers

We warrant that the Remedy platform will perform materially in accordance with applicable documentation during the subscription term. EXCEPT AS EXPRESSLY STATED, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

The Remedy platform is a compliance and risk management tool. It does not constitute legal, financial, or regulatory advice. You are solely responsible for your compliance decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMEDY'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Term and Termination

These Terms commence on your acceptance and continue for the duration of your subscription. Either party may terminate for material breach that remains uncured for 30 days after written notice. Upon termination, your access to the platform will cease and we will make your Customer Data available for export for 30 days, after which it will be deleted.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Morris County, New Jersey, and each party consents to the exclusive jurisdiction of such courts.

12. General

  • Entire Agreement: These Terms, together with any order form or subscription agreement, constitute the entire agreement between the parties.
  • Modifications: We may modify these Terms with 30 days' notice. Continued use constitutes acceptance.
  • Severability: If any provision is unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our written consent. We may assign in connection with a merger or acquisition.
